The Articles of Association

The following is very brief summary and refers only to clauses that may be relevant to day-to-day occupation. This is not intended to be a legal interpretation but purely a guide towards the actual text (Clause numbers are given in brackets). 1. The Company was incorporated on 25th January 1994

2. It is a Company limited by Guarantee and not having a share capital

3. The Company Number is 2890851

4. The registered address is c/o SWA Chartered Surveyors, Ground Floor, Stortford House, 231 London Road, Bishops Stortford Hertfordshire CM23 3LA

5. A person becomes a member of the Company if he satisfies the Directors as to his entitlement. (6). (ie enters into the Covenants with the Company and properly registers)

6. The first named person who is a party to the Lease becomes a member. (7)

7. A Member remains until such time as: -
a) he can satisfy the Directors that someone else has entered into the covenants of the Lease (8a & c) and
b) all sums due have been paid (8b) and
c) a new person has properly registered as a Member as his successor (9c)

8. The Company holds General Meetings to which all qualifying members are invited (10).

9. Directors are appointed by the residents on a 3-year rotation (AGM resolution 1998)

10. The Directors hold meetings as and when they consider necessary (45)

11. The Directors are required to appoint a Company Secretary (51)

12. The Companies Act 1985 requires the keeping of proper Accounts. (53) Copies of accounts are made available to members at each AGM.
